User Terms of Service | 用户服务协议
1. Acceptance | 接受条款
By creating an account, booking a lesson, applying as a teacher, or using SpeakingCN, you agree to these Terms and the policies incorporated by reference. If you do not agree, do not use the Platform.
您创建账户、预约课程、申请成为教师或使用 SpeakingCN，即表示您同意本协议及其引用政策。如不同意，请勿使用平台。
2. Platform role | 平台定位
SpeakingCN provides teacher discovery, booking, payment processing, course preparation, courseware access, notifications, reviews, administrative review, and support services for online Chinese and math learning.
Teachers are independent service providers, not employees or agents of SpeakingCN. The Platform may review teacher information, approve displayed price tiers, process payments/refunds, support disputes, enforce rules, and remove unsafe or non-compliant users/content. The Platform does not guarantee specific learning outcomes, exam results, or teacher availability.
SpeakingCN 为在线中文和数学学习提供教师展示、预约撮合、支付处理、课前准备、课件访问、通知、评价、后台审核及支持服务。
教师为独立服务提供方，并非 SpeakingCN 员工或代理。平台可审核教师资料、核定展示价格、处理支付/退款、协助争议、执行规则并移除不安全或违规用户/内容。平台不保证特定学习成果、考试结果或教师可用性。
3. Eligibility | 资格
Account holders and payers must be at least 18 years old. A parent/legal guardian may create and manage child learner profiles. Children may not independently create payment accounts or accept legal terms.
账户持有人和付款人必须年满 18 周岁。父母/法定监护人可创建并管理儿童学习者资料。儿童不得独立创建付款账户或接受法律条款。
4. Account security | 账户安全
You must provide accurate information, keep credentials secure, and notify us of unauthorized access.
您必须提供准确信息、保护账户凭证，并在发现未经授权访问时通知我们。
5. Lessons and booking | 课程与预约
Lessons are booked through the Platform and confirmed only after successful payment. Lessons are generally 25 minutes unless otherwise shown. Teachers may conduct lessons through third-party tools such as Zoom, ClassIn, Teams, or similar tools. MVP does not embed or host live video classes.
课程通过平台预约，仅在支付成功后确认。课程通常为 25 分钟，页面另有说明除外。教师可通过 Zoom、ClassIn、Teams 或类似第三方工具授课。MVP 阶段平台不嵌入或托管实时视频课堂。
6. Payments | 支付
Prices are shown at checkout, currently in USD unless otherwise stated. Payments are processed by third-party payment processors such as Airwallex. SpeakingCN does not intentionally store complete card numbers or card authentication credentials.
价格以结账页展示为准，除非另有说明，当前为美元。支付由 Airwallex 等第三方支付机构处理。SpeakingCN 不会有意存储完整银行卡号或银行卡认证凭证。
7. Refunds and disputes | 退款与争议
Refunds, cancellations, no-shows, and disputes are governed by the Refund & Cancellation Policy. The Platform may review evidence, communications, attendance records, technical logs, and payment data.
退款、取消、缺席及争议适用《退款与取消政策》。平台可审查证据、沟通记录、出勤记录、技术日志和支付数据。
8. User conduct | 用户行为
You must not harass users, upload illegal/harmful/infringing content, bypass the Platform for private transactions, share courseware or meeting links without authorization, attack the Platform, or misrepresent identity, age, role, qualifications, payment information, or guardian status.
您不得骚扰用户、上传违法/有害/侵权内容、绕过平台私下交易、未经授权分享课件或会议链接、攻击平台，或虚假陈述身份、年龄、角色、资质、支付信息或监护人身份。
9. Intellectual property | 知识产权
Platform software, interfaces, logos, trademarks, and Platform-created content belong to SpeakingCN or licensors. Teacher-created materials remain owned by teachers subject to licenses granted to the Platform and booked learners.
平台软件、界面、标识、商标及平台制作内容归 SpeakingCN 或其授权方所有。教师原创材料归教师所有，但受授予平台和已预约学习者的许可约束。
10. Third-party services | 第三方服务
The Platform may rely on third-party services for payments, hosting, email, analytics, storage, support, and video lessons. Third-party services have their own terms and privacy policies.
平台可依赖第三方服务提供支付、托管、邮件、分析、存储、客服和视频授课。第三方服务适用其自身条款和隐私政策。
11. Suspension and termination | 暂停与终止
We may restrict, suspend, or terminate access for rule violations, safety risks, fraud, private transactions, infringement, payment risk, or legal requirements. Some records may be retained for legal, payment, accounting, tax, audit, dispute, safety, or fraud-prevention purposes.
如存在违规、安全风险、欺诈、私下交易、侵权、支付风险或法律要求，我们可限制、暂停或终止访问。部分记录可因法律、支付、会计、税务、审计、争议、安全或反欺诈目的保留。
12. Disclaimers and liability | 免责声明与责任限制
The Platform is provided “as is” and “as available.” To the maximum extent permitted by law, SpeakingCN is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Total liability is limited to the amount paid for the relevant lesson or, if not tied to a lesson, amounts paid in the three months before the claim.
平台按“现状”和“可用”提供。在法律允许的最大范围内，SpeakingCN 不承担间接、附带、特殊、后果性、示范性或惩罚性损害责任。总责任不超过相关课程支付金额；如索赔与具体课程无关，则不超过索赔前三个月内支付金额。
13. Governing law and dispute resolution | 法律适用与争议解决
Unless mandatory consumer law provides otherwise, these Terms are governed by the laws of the People's Republic of China. Disputes will be handled through the dispute forum specified in the version published by SpeakingCN.
除强制性消费者保护法律另有规定外，本协议适用中华人民共和国法律。争议应按照 SpeakingCN 正式发布版本中载明的争议解决方式处理。
14. Language | 语言
If there is any inconsistency between language versions, the language stated in the version published by SpeakingCN will prevail.
如不同语言版本存在不一致，以 SpeakingCN 正式发布版本中注明的优先语言为准。
