Teacher Agreement | 教师入驻与服务协议

1. Independent service provider | 独立服务提供方

Teachers are independent service providers, not employees, agents, partners, or representatives of SpeakingCN. Teachers are responsible for their own taxes, compliance, equipment, internet connection, and preparation except where the Platform expressly provides otherwise.

教师为独立服务提供方，并非 SpeakingCN 的员工、代理、合伙人或代表。除平台明确提供外，教师自行负责税务、合规、设备、网络连接和备课。

2. Eligibility | 入驻条件

Teachers must be at least 18, provide accurate identity/contact/education/experience/payment information, truthfully describe qualifications and language ability, and pass Platform review before being displayed or bookable.

教师必须年满 18 周岁，提供真实身份、联系方式、学历、经验和收款信息，如实描述资质和语言能力，并通过平台审核后方可展示或被预约。

3. Profile and price tier | 资料与价格档位

Teachers may submit profile information and requested price tier. The Platform may approve, reject, adjust, suspend, or remove profile display and price tiers. Student-facing price is the Platform-approved price shown at booking.

教师可提交资料和申请价格档位。平台可批准、拒绝、调整、暂停或移除资料展示和价格档位。学生端价格以预约时平台核定展示价格为准。

4. Responsibilities | 教师义务

Teachers must attend on time, teach professionally, prepare suitable materials, provide class method/meeting link when required, respect students and parents, protect child safety and privacy, avoid unnecessary collection of child information, and comply with Platform rules.

教师必须准时上课、专业教学、准备合适资料、按要求提供上课方式/会议链接、尊重学生和家长、保护儿童安全和隐私、避免收集不必要儿童信息，并遵守平台规则。

5. External class tools | 外部上课工具

MVP lessons may use Zoom, ClassIn, Teams, or similar tools. Teachers must maintain their own accounts, devices, internet, audio/video quality, and meeting link security. Teachers must not use these tools to bypass payment or move students off-platform.

MVP 课程可使用 Zoom、ClassIn、Teams 或类似工具。教师负责维护账号、设备、网络、音视频质量和会议链接安全。教师不得利用这些工具绕过支付或将学生转移至平台外。

6. Recording | 录制

The Platform does not default to recording or storing live class video in MVP. Teachers must not record, distribute, edit, or post lessons without required consent. Lessons involving child learners require parent/guardian consent.

MVP 阶段平台默认不录制或存储实时课程视频。教师未经必要同意不得录制、传播、剪辑或发布课程。涉及儿童学习者的课程需监护人同意。

7. Courseware license | 课件授权

Teachers retain ownership of original materials. By uploading materials, teachers grant SpeakingCN a non-exclusive, worldwide, royalty-free license to store, display, transmit, and make materials available for booked lessons, platform operations, safety review, and dispute handling. Teachers warrant that materials do not infringe third-party rights.

教师保留原创材料所有权。上传材料即授予 SpeakingCN 非独占、全球范围、免许可费许可，用于存储、展示、传输并为已预约课程、平台运营、安全审核和争议处理提供材料。教师保证材料不侵权。

8. Compensation and settlement | 费用与结算

Teacher earnings depend on approved booking price, platform service fee, refund/dispute/payment status, payment costs, FX settings, and platform rules. Rates, FX settings, deductions, and payout calculations are determined by the active platform configuration and booking-level records, not by a fixed default percentage in this Agreement.

教师收入取决于核定预约价格、平台服务费、退款/争议/支付状态、支付成本、汇率设置和平台规则。费率、汇率、扣减项和结算计算以平台当期有效配置及订单级记录为准，本协议不承诺固定默认百分比。

Settlement is generally reviewed on a periodic basis determined by the Platform, subject to minimum thresholds, verification, payment reconciliation, and platform review.

结算通常按平台确定的周期审核处理，并受最低门槛、身份验证、支付对账和平台审核影响。

9. Payout eligibility | 可结算条件

Completed bookings and confirmed student no-show bookings may be payout-eligible. Teacher no-show, teacher cancellation, refunded, charged back, disputed, expired, cancelled, or unpaid bookings are not payout-eligible unless the Platform decides otherwise.

已完成预约和确认学生缺席预约可符合结算条件。教师缺席、教师取消、已退款、拒付、争议、过期、取消或未支付预约不符合结算条件，除非平台另行决定。

10. Prohibited conduct | 禁止行为

Teachers must not conduct private transactions, share personal contact information to move students off-platform, misrepresent qualifications, harass users, upload harmful or infringing content, manipulate ratings, disclose platform confidential information, or misuse student/child/payment data.

教师不得私下交易、分享个人联系方式以转移学生、虚假陈述资质、骚扰用户、上传有害或侵权内容、操纵评价、披露平台机密或滥用学生/儿童/支付数据。

11. Suspension and termination | 暂停与终止

The Platform may warn, restrict, suspend, remove, or terminate teachers for violations, safety issues, repeated complaints, inaccurate information, fraud, private transactions, payment risk, or legal requirements.

如教师违规、存在安全问题、被多次投诉、信息不实、欺诈、私下交易、支付风险或法律要求，平台可警告、限制、暂停、下架或终止教师服务。

12. Dispute resolution | 争议解决

This clause should align with the User Terms published by SpeakingCN, including the dispute forum and governing language stated there.

本条应与 SpeakingCN 正式发布的《用户服务协议》一致，包括其中载明的争议解决方式和优先语言规则。
